I. ACCEPTANCE AND AGREEMENT TO TERMS OF USE

By accessing, installing, registering for, or otherwise using any website, software, application, hardware, platform, or services provided by KanjiPos Inc. (“KanjiPos”) and/or Kanji Processing (“Kanji Processing”) (collectively, “Kanji,” “we,” “our,” or “us”), including but not limited to point-of-sale software, cloud-based services, locally installed software, payment processing integrations, and any related features, functionality, content, updates, or services (collectively, the “Services”), you (“Customer,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms of Use (the “Terms”), as well as any additional agreements, policies, pricing schedules, or documentation incorporated herein by reference (collectively, the “Agreement”).

You further represent and warrant that you have the full legal authority, right, and capacity to enter into this Agreement on behalf of yourself or the business entity you represent, and that such entity will be bound by these Terms. If you are entering into this Agreement on behalf of an organization, you agree that you are an authorized representative of that organization with the authority to bind it to these Terms.

These Terms apply regardless of whether you are utilizing free, trial, licensed, subscription-based, or paid components of the Services, and regardless of whether certain features are currently offered at no cost but may be monetized in the future. Your continued use of the Services constitutes ongoing acceptance of these Terms.

If you do not agree to all of the provisions contained herein, you must immediately cease all access to and use of the Services.

These Terms constitute a legally binding agreement governing your access to and use of the Services and supersede any prior agreements, communications, or understandings between you and Kanji relating to the subject matter herein, except where separate written agreements explicitly apply. In the event of any conflict between these Terms and any separate agreement (including, but not limited to, merchant processing agreements entered into with Kanji Processing or third-party processors), such separate agreement shall control solely with respect to the specific subject matter governed therein.

You acknowledge and agree that Kanji Processing operates as a registered Independent Sales Organization (“ISO”) and that all payment processing services are subject to separate application approval, underwriting, and contractual terms imposed by financial institutions. Kanji does not control, and shall not be responsible for, the approval, denial, suspension, holding, or termination of merchant accounts or funds by such third-party processors.

BY ACCEPTING THESE TERMS, YOU EXPRESSLY AGREE THAT ANY DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE ANY RIGHT TO A JURY TRIAL OR PARTICIPATION IN A CLASS ACTION, AS FURTHER DESCRIBED HEREIN.

II. MODIFICATIONS TO TERMS AND SERVICES

Kanji reserves the absolute right, at any time and in its sole discretion, to modify, amend, supplement, or replace these Terms, as well as to modify, update, suspend, limit, or discontinue any aspect of the Services, including but not limited to features, functionality, pricing, subscription models, licensing structures, support offerings, and system requirements (collectively, “Modifications”).

Such Modifications may be made with or without prior notice; however, where commercially reasonable, Kanji may provide notice via the Services, email, or other communication methods. Unless otherwise stated, Modifications to the Terms shall become effective thirty (30) days after being posted. Modifications affecting new users may become effective immediately.

Notwithstanding the foregoing, Kanji reserves the right to implement immediate Modifications where necessary for security purposes, legal compliance, fraud prevention, system integrity, or operational stability.

You are responsible for reviewing these Terms periodically. Your continued use of the Services following any Modifications constitutes your acceptance of such Modifications. If you do not agree to any Modifications, your sole remedy is to discontinue use of the Services and terminate your account in accordance with these Terms.

Kanji further reserves the right to introduce new features, functionality, or services, including premium or paid features, support plans, licensing fees, or usage-based pricing, at any time. Features that are currently provided free of charge may become subject to fees in the future upon notice to you.

III. USE OF SERVICES; LICENSE; RESTRICTIONS

Subject to your compliance with these Terms and payment of any applicable fees, Kanji grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business operations and in accordance with the scope of use authorized by Kanji.

Your access to the Services may be tied to a license key, account credentials, or other access controls issued by Kanji. You acknowledge that such licenses may expire, be suspended, or be revoked at any time, including for non-payment, breach of these Terms, or at Kanji’s sole discretion. Upon expiration or termination of a license, your access to the Services, including critical functionality, may be immediately disabled.

You agree that you shall not, and shall not permit any third party to:
- Copy, reproduce, distribute, sell, lease, sublicense, or otherwise exploit the Services;
- Modify, adapt, translate, reverse engineer, decompile, or attempt to derive source code;
- Use the Services to develop or support a competing product or service;Circumvent, disable, or interfere with security-related features;
- Use automated tools (including bots, scrapers, or scripts) to access or extract data;Use the Services in any unlawful, fraudulent, or abusive manner;
- Interfere with or disrupt the integrity or performance of the Services.

You are solely responsible for all activities conducted under your account, including those of your employees, agents, and contractors, and any such activity shall be deemed your responsibility.

IV. PAYMENT PROCESSING; THIRD-PARTY SERVICES

Kanji’s Services may integrate with or rely upon third-party providers, including but not limited to payment processors, financial institutions, hardware vendors, and software providers (“Third-Party Services”).

You acknowledge and agree that:
- Payment processing services are provided by Kanji Processing and/or third-party providers under separate agreements;
- Approval, underwriting, funding, reserves, chargebacks, and transaction monitoring are controlled by such third parties;
- Kanji does not hold, control, or guarantee access to merchant funds;
- You are solely responsible for all transactions, including fraudulent transactions, disputes, and chargebacks, as well as any associated fees or penalties;
- Kanji makes no representations or warranties regarding the performance, reliability, or availability of Third-Party Services.

Your use of Third-Party Services is at your own risk and subject to the terms and policies of such third parties.

V. FEES; BILLING; FUTURE CHARGES

You agree to pay all applicable fees associated with the Services, including but not limited to subscription fees, payment processing fees, hardware costs, support fees, and any future fees implemented by Kanji.

Kanji may change pricing at any time upon notice. Fees may include, without limitation:
- Monthly cloud subscription fees;
- Licensing fees (including currently free licenses that may become paid);
- Support and maintenance fees;
- Transaction and payment processing fees;
- Optional feature or add-on fees.

All fees are non-refundable unless otherwise determined by Kanji in its sole discretion. Failure to pay fees may result in suspension or termination of access to the Services.

VI. DATA USAGE AND RIGHTS

You acknowledge and agree that Kanji may collect, use, store, analyze, and process data generated through your use of the Services, including transaction data, operational data, and system usage data.

Kanji may use such data for purposes including, but not limited to:
- Providing and improving the Services;
- Internal analytics and reporting;
- Developing new features or services;
- Fraud detection, compliance, and security.

Kanji may also aggregate and anonymize such data for any lawful purpose. You grant Kanji a broad, perpetual, worldwide license to use such data in accordance with this section.

VII. MOBILE APPLICATIONS AND LOCATION DATA

Kanji may offer mobile applications that allow Customers and authorized users to access and manage business operations, including viewing location information, reports, and system activity (the “Mobile Apps”).

When you use the Mobile Apps, we may collect additional information, including:
- Device information (model, operating system, device identifiers)
- App usage data and interaction data
- Log and diagnostic information
- Approximate or precise location data, if enabled by you

Location data may be used for purposes including:
- Displaying business location information
- Supporting operational features within the Services
- Improving functionality and user experience

Location services are optional and may be controlled through your device settings. You may disable location access at any time; however, certain features of the Mobile Apps may not function properly without it.

The Mobile Apps may also request permission to send push notifications, which may include operational alerts, account updates, or promotional communications. You may manage notification preferences through your device settings.

VIII. DISCLAIMERS AND LIMITATION OF LIABILITY

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

Kanji does not guarantee uninterrupted operation, uptime, or error-free performance. The Services may be subject to downtime, interruptions, or technical issues.

To the maximum extent permitted by law, Kanji shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.

IX. TERMINATION

Kanji may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your use of the Services upon providing at least thirty (30) days’ written notice, subject to any outstanding obligations.

X. DISPUTE RESOLUTION; ARBITRATION

Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration on an individual basis.You waive any right to a jury trial or participation in class actions.

XI. GENERAL PROVISIONS

This Agreement shall be governed by the laws of the State of Tennessee. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between you and Kanji regarding the Services.
